Vendor Agreement

BB2A Ventures, LLC d/b/a Best of Black 2A
(“Best of Black 2A,” “BB2A,” “we,” “us,” or “our”)

This Vendor Agreement (“Agreement”) governs your participation as a Vendor on the Best of Black 2A marketplace. By creating a Vendor account, listing products or services, or processing payments on the platform, you agree to this Agreement, the Marketplace Product Policy, the Refund & Booking Policy, and the general Terms of Service.

If you do not agree, do not use the Vendor platform.

1. Marketplace Framework

Best of Black 2A operates as a neutral venue. Vendors list products and services; buyers purchase directly from those Vendors.
Best of Black 2A is not the merchant of record for Vendor transactions.

As a Vendor, you understand that:

• You operate an independent storefront
• You are responsible for your own compliance
• You directly provide all goods, services, refunds, and support
• You enter into a direct contract with the buyer

Best of Black 2A does not guarantee traffic, sales, booking volume, or customer outcomes.

2. Eligibility Requirements

To become a Vendor, you must:

• Be at least 18 years old
• Operate a lawful business or sole proprietorship
• Have authority to bind your business to this Agreement
• Comply with marketplace rules and payment-processor verification
• Accurately represent your business name, identity, and qualifications

We may request additional documentation at any time.

3. Prohibited Products and Services

Vendors must comply with all federal, state, and local regulations.

The following items may not be sold, listed, promoted, or linked to on Best of Black 2A:

• Firearms of any type
• Ammunition
• Silencers or suppressors
• High-capacity magazines restricted by state law
• Ghost gun kits, unserialized frames, or 80% receivers
• Explosives or hazardous materials
• NFA items or FFL-restricted items
• Items prohibited under Stripe’s Restricted Business List
• Illegal or misrepresented products
• Counterfeit items or intellectual property violations
• Products requiring background checks, permits, or federal transfer processes

Listings violating these rules may be removed.
Vendors who repeatedly violate them may lose marketplace access.

4. Vendor Responsibilities

As a Vendor, you are solely responsible for:

• Accuracy and legality of your listings
• Product quality and authenticity
• Order fulfillment and timely shipping
• Tracking, delivery, and customer communication
• Returns, refunds, and exchanges
• Client safety within lawful training standards
• Your own licenses, certifications, and insurance
• All applicable federal, state, and local laws

You must keep all listing information current and accurate.

4.1 Attendance, Check-In, and Session Management

For any time-based service, course, event, or session offered on the platform, Vendors are solely responsible for managing attendance and check-in.

Attendance is confirmed when a booking or ticket is scanned, checked in, or otherwise marked as used at the time of validation.

Vendors must ensure that tickets are scanned at or after the scheduled start time of the applicable session. Tickets scanned prior to the scheduled start time may be permanently marked as used and may not be eligible for revalidation, refund, or replacement.

Vendors are responsible for:

  • Proper timing of ticket scanning

  • Managing entry and participation

  • Resolving attendance-related disputes with customers

  • Applying their stated refund and cancellation policies consistently

Best of Black 2A does not guarantee correction or reversal of attendance records resulting from early scanning, timing errors, or vendor-managed check-in actions.

5. Shipping & Fulfillment

Best of Black 2A does not ship Vendor items.

Vendors must:

• Set accurate shipping costs and timelines
• Use lawful carriers capable of shipping the item type
• Provide tracking when available
• Replace or refund lost, damaged, or misdelivered items
• Comply with all shipping laws

Shipping disputes are between the Vendor and the customer.

6. Vendor Refunds & Cancellations

Vendors must publish their own return and refund policies.

If you do not, your sales are considered final unless required otherwise by law.

Vendors must:

• Honor posted refund policies
• Handle refund requests directly
• Resolve service or product disputes with their customers

Best of Black 2A does not issue refunds on your behalf.

Booking Cancellations

Cancellation of a booking removes the reservation and may release the associated seat or time slot back into platform availability. Cancellation of a booking does not automatically reverse or refund a completed payment transaction. Any refund must be processed by the Vendor through the applicable payment processor in accordance with the Vendor’s published refund or cancellation policy.

Attendance disputes, including those arising from ticket usage or check-in timing, must be resolved by the Vendor in accordance with their published refund and cancellation policies.

6.1 Refund Recovery and Payout Adjustments
If a customer payment is refunded, reversed, disputed, or charged back after all or part of the related funds have been transferred or scheduled for payout to the Vendor, Best of Black 2A may recover the applicable amount from the Vendor by reversing a transfer where available, offsetting the amount against future payouts, withholding current or future payouts, or using any other lawful recovery method permitted by the applicable payment processor and this Agreement.

The Vendor remains financially responsible for refunds, reversals, chargebacks, disputed transactions, and related losses arising from the Vendor’s listings, services, cancellations, conduct, or failure to fulfill a booking, even if payout has already been initiated or completed.

7. Payment Processing & Payout Requirements

Vendor payouts occur through authorized third-party processors.

As required by these processors, Vendors must:

• Complete identity and tax verification
• Provide accurate legal information
• Maintain a valid payout method
• Comply with all relevant financial regulations

You authorize Best of Black 2A and its payment processors to:

• Collect payment from buyers
• Deduct platform fees and commissions
• Remit payouts to your connected account

Improper chargebacks or fraudulent activity may result in withheld payouts or account removal.

7.1 Standard Payout Timing
Vendor payouts are processed through authorized third-party payment processors and connected account infrastructure. Standard payout timing is determined by the payment processor, connected account status, payout schedule, banking rails, risk review, reserve settings, and other operational factors. Best of Black 2A does not guarantee that payout will occur on the date of booking, the date of service, or any particular calendar date.

For clarity, customer payment collection, transfer of funds to a connected account, and disbursement of funds to a Vendor’s bank account may occur at different times. Payout timing may differ by Vendor, transaction type, country, currency, processor settings, or account standing.

7.2 Holds, Delays, Reserves, and Withholding
Best of Black 2A and its payment processors may delay, hold, reserve, suspend, review, or withhold any payout, in whole or in part, for reasons including but not limited to fraud prevention, risk review, refund exposure, disputes, chargebacks, account verification, policy enforcement, legal compliance, processor requirements, unusual transaction activity, or suspected misconduct.

Such holds or delays may apply before, on, or after a scheduled class, event, booking, or fulfillment date.

7.3 Optional Instant Payouts
Where available, eligible Vendors may be offered an optional Instant Payout feature through the applicable payment processor or connected account dashboard. Instant Payouts are not guaranteed, are subject to processor eligibility rules, supported payout methods, currency and country availability, account standing, available balance, risk review, and bank or card network limitations.

If Best of Black 2A offers Instant Payouts, a fee of 1.5% of the payout amount will apply to each Instant Payout, subject to a minimum fee of $0.50 USD and a maximum fee of $10.00 USD per payout, unless a different fee is clearly disclosed in the Vendor dashboard or payout interface at the time of request.

Any stated Instant Payout timeframe, including references to funds typically arriving within approximately 30 minutes, is an estimate only and not a guarantee. Actual timing may vary due to processor, bank, card network, weekends, holidays, compliance review, technical issues, or other delays outside Best of Black 2A’s control.

7.4 Payout Method and Vendor Responsibility
The Vendor is solely responsible for maintaining accurate payout, tax, identity, and account information and for selecting and maintaining an eligible payout method. Best of Black 2A is not responsible for failed, delayed, misdirected, rejected, or returned payouts resulting from inaccurate account details, ineligible payout methods, processor restrictions, or actions or omissions by the Vendor.

7.5 Offsets, Reversals, and Corrections
Best of Black 2A may correct payout errors and may debit, offset, reverse, net, or recoup amounts from current or future payouts to address refunds, disputes, chargebacks, duplicate payments, overpayments, processor fees, platform fees, Instant Payout fees, transfer reversals, compliance holds, or other amounts owed by the Vendor under this Agreement or applicable law.

8. Fees & Commissions

Best of Black 2A may charge:

• Subscription fees
• Listing fees
• Transaction or commission fees
• Processing or platform fees
• Optional Instant Payout fees
• Other fees clearly disclosed in the Vendor dashboard, onboarding flow, payout interface, or applicable pricing materials

All fees are disclosed in your Vendor dashboard and are non-refundable unless required by law.

9. Intellectual Property

You represent and warrant that:

• You own or have rights to all content you upload
• Your listings do not infringe any third-party rights

You grant Best of Black 2A a limited license to display your content on the platform.

We may remove content that violates copyright, trademark, or our brand standards.

10. Conduct & Professional Standards

Vendors must:

• Communicate respectfully with customers
• Honor bookings and scheduled sessions
• Maintain lawful and safe training practices
• Avoid misleading, harmful, or abusive behavior

We reserve the right to remove Vendors for misconduct, low-quality service, or behavior that harms platform integrity.

11. Disclaimers

Best of Black 2A does not:

• Guarantee Vendor revenue
• Guarantee customer behavior
• Validate Vendor credentials beyond submitted documentation
• Assume responsibility for Vendor performance
• Act as an insurer, broker, or guarantor
• the timing, sequence, or outcome of vendor-managed ticket validation, attendance check-in, or session entry
• Guarantee payout eligibility, payout timing, payout availability, or bank settlement speed

Vendors participate at their own risk.

12. Suspension & Termination

We may suspend or terminate your Vendor access if you:

• Violate this Agreement or marketplace policies
• Sell prohibited items
• Engage in fraudulent or deceptive practices
• Receive excessive complaints or disputes
• Fail to meet platform standards
• Fail identity or compliance verification
• Harm the reputation or safety of the platform

Termination decisions are made at our discretion.

13. Indemnification

You agree to indemnify and hold harmless Best of Black 2A from claims arising from:

• Your listings
• Your business operations
• Your products or services
• Customer disputes
• Legal violations
• Intellectual property infringement
• Shipping and delivery issues

This is standard and required for marketplace protection.

14. Modifications

Best of Black 2A may update this Agreement at any time.
Material changes will be posted on the platform.
Continued use constitutes acceptance of changes.
